The company has not changed its plan. What changed between April and July is the share count the plan will be divided by, the CEO who executes it, and the price Wall Street is willing to pay for a 2028 payoff. Two of those lines deserve to be read together. A $3.58 billion market capitalization against $7.34 million of trailing revenue is roughly 488 times sales. That is not a valuation multiple in any conventional sense — it is a placeholder for a business that does not exist yet. On July 21, Roth Capital kept its Buy rating and cut its target from $40 to $30. When the rating stays and the target falls 25%, the model changed, not the conviction. Treat target dispersion as a measure of disagreement about execution, not as a forecast.

Why USAR stock dropped 34% in a month

The July slide was not one event. It was three, stacked:

The deal repriced. USA Rare Earth agreed on April 20, 2026 to acquire Serra Verde Group — owner of the Pela Ema mine in Goiás, Brazil — for $300 million in cash plus 126.849 million newly issued shares, implying roughly $2.8 billion at the April 17 close of $19.95. Any deal paid in stock is a bet that the stock holds its value between signing and closing. It didn't.

The CEO changed mid-flight. On July 20, USA Rare Earth said Barbara Humpton will retire effective October 1, with Serra Verde CEO Thras Moraitis taking over and Michael Blitzer elected Executive Chairman immediately. Handing the combined company to the acquired company's CEO is a defensible integration choice. It also removes the executive who built the U.S. government relationships underpinning up to ~$1.6 billion in federal funding commitments.

The geopolitics cut both ways. On June 22, China's retaliation against a Pentagon blacklist named USA Rare Earth alongside MP Materials. Being on Beijing's list confirms strategic relevance and closes doors at the same time.

None of this touched the operating milestones, which quietly went the right way: the Wheat Ridge, Colorado hydrometallurgical facility was commissioned in June and produced commercial-grade dysprosium oxide and neodymium-praseodymium oxide samples from recycled magnet material by July 14 — putting USAR among a very short list of companies separating heavy rare earths outside Asia. On July 23 the company signed definitive agreements for a ~13.6% stake in French processor Carester, whose Caremag plant is targeted to start up in Q4 2026.

The Serra Verde dilution math the headlines skip

A 51.9% increase in shares outstanding is the single largest structural fact about USAR stock this year. Every future earnings-per-share figure, every price target built on a 2028 profit estimate, has to be re-based on 371.5 million shares rather than 244.7 million — and a meaningful share of published targets predate the deal.

USA Rare Earth is now buying a producing upstream asset for roughly $673 million less in market value than the announced headline — a 24% discount, paid for by its own shareholders' dilution. Is USAR stock a buy at $14.65?

The honest answer is that "buy" and "sell" are the wrong frame for a pre-revenue name with a beta of 2.48. The useful frame is: which of four legs do you believe, and how big a position survives being wrong on one of them?

  • Magnets scale on schedule. Stillwater's Phase 1a line targets a 600 MTPA run rate by the end of Q4 2026, with Phase 1b lifting the site to 1,200 MTPA in Q1 2027. This is the nearest-term, most checkable claim the company makes.
  • Round Top gets built. Commercial production is a 2028 event. Mine timelines slip; assume some will.
  • Government money lands. Up to ~$1.6 billion in federal funding is a policy commitment, not a signed cheque, and policy changes with administrations.
  • The MP Materials suit does not bite. MP sued in Texas Business Court on May 22, 2026 over alleged misappropriation of grain-boundary-diffusion magnet technology; USA Rare Earth denied every allegation in June. Trade-secret litigation is slow and binary, and it aims squarely at the process that makes USAR's magnets competitive.

What experienced holders of names like this watch is not the thesis — it's the funding runway against the burn. Roughly $1.75 billion of cash at Q1 2026, less $300 million for Serra Verde, against a Q1 net loss of $67 million and a mine to build. That buys time, not immunity. If the timeline slips past the cash, the next raise happens at whatever price the market offers, and the dilution table above gets another row.
