Genius Group proposes $12.5 million offering to rebuild $827 million Bitcoin treasury
Genius Group, an AI education company, has proposed a $12.5 million perpetual preferred offering to restart its Bitcoin treasury, aiming for a total of $827 million by fiscal 2031. The initial raise would cover only 1.51% of the target, leaving at least $814.5 million to finance. The proceeds will be allocated among the Bitcoin treasury, an AI portfolio, and a dollar reserve for preferred dividends, but the exact dividend rate and allocation percentages are not yet determined. The proposed security is expected to be non-convertible and pay a variable monthly rate, with terms subject to board approval and market conditions. The company has indicated that this offering will not dilute common shares at issuance, shifting risk to preferred-stock obligations. Genius also referenced a $1.2 billion shelf registration effective July 2025, allowing for future securities sales. Genius reported in April that it sold its remaining Bitcoin and repaid 8.5 million dollars of debt. Current cash balances remain unclear, with a reported 2.42 million dollars in cash and 106.6 million dollars in net assets as of June. At today's Bitcoin price of approximately 79,911 dollars, the proposed offering equates to about 156 BTC, while the total target represents around 10,349 BTC, highlighting the scale of the company's ambitions.
